01 Acceptance of Terms

By accessing or using Ciryana's websites, applications, APIs, or other services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Important Notice

If you do not agree to these Terms, you must not access or use our Services. Your continued use of the Services constitutes acceptance of any updated Terms.

  • You must be at least 18 years old or the age of legal majority in your jurisdiction to use our Services.
  • You agree to comply with all applicable local, state, national, and international laws and regulations.
  • You acknowledge that these Terms constitute a binding legal agreement between you and Ciryana Ltd.
  • Your use of the Services is also governed by our Privacy Policy and Data Processing Agreement.

02 Definitions

Throughout these Terms, the following definitions apply unless otherwise specified:

"Ciryana" Ciryana Ltd, a company registered in the United Kingdom, and its subsidiaries, affiliates, officers, employees, agents, and successors.
"Services" All products, applications, APIs, software, documentation, and support services provided by Ciryana, including but not limited to Paperly AI.
"User Data" Any data, documents, images, text, or other content uploaded, submitted, or processed through our Services by you or on your behalf.
"Subscription" A paid plan that provides access to our Services for a specified period, subject to payment of applicable fees.
"API" Application Programming Interface that allows integration of our Services with third-party applications.
"Confidential Information" Any non-public, proprietary, or confidential information disclosed by either party in connection with the Services.

03 Our Services

We analyze traditional business problems and introduce revolutionary AI SaaS solutions. Our Services utilize machine learning, computer vision, and natural language processing technologies to transform enterprise operations.

Service Availability

We strive to maintain 99.9% uptime for our Services, excluding scheduled maintenance windows and circumstances beyond our reasonable control. We will provide advance notice of scheduled maintenance when possible.

Modifications and Updates

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for significant changes that materially affect your use of the Services.

Third-Party Integrations

Our Services may integrate with third-party platforms. Your use of such integrations is subject to the terms and conditions of the respective third-party providers.

  • We do not guarantee that the Services will be error-free or uninterrupted.
  • We may impose usage limits or restrictions to ensure service quality for all users.
  • Features and functionality may vary based on your Subscription plan.
  • We reserve the right to remove access to beta or experimental features at any time.

04 User Accounts

To access certain features of our Services, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Account Security

You agree to: (a) provide accurate and complete information when creating your account; (b) maintain and promptly update your account information; (c) maintain the security of your account by not sharing passwords or access tokens; (d) immediately notify us of any unauthorized access or security breach.

Acceptable Use

You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair our servers or networks. Prohibited activities include but are not limited to:

  • Uploading, transmitting, or processing any content that violates applicable laws or regulations.
  • Attempting to gain unauthorized access to any part of the Services or other users' accounts.
  • Using the Services to process data that infringes on intellectual property rights or privacy rights of third parties.
  • Reverse engineering, decompiling, or disassembling any aspect of the Services.
  • Using automated systems or software to extract data from the Services ("scraping").
  • Interfering with or disrupting the integrity or performance of the Services.

05 Payment Terms

Certain features of our Services require payment of fees. All fees are stated in the applicable order form or pricing page and are exclusive of taxes unless otherwise stated.

Billing and Renewal

Subscriptions automatically renew for successive periods equal to the initial subscription term unless cancelled. You authorize us to charge your payment method for all applicable fees.

Refunds

All fees are non-refundable except as required by law or as explicitly stated in a written agreement with Ciryana. We may, at our sole discretion, offer refunds in exceptional circumstances.

  • You are responsible for all applicable taxes, duties, and governmental charges.
  • We may change our fees upon notice to you, with changes effective at the next renewal period.
  • Failure to pay may result in suspension or termination of your account.
  • Enterprise customers may be subject to additional terms in their Master Service Agreement.

06 Intellectual Property

Ciryana retains all rights, title, and interest in and to the Services, including all intellectual property rights. Nothing in these Terms grants you any rights to our trademarks, patents, copyrights, or trade secrets.

User Data Ownership

You retain all ownership rights to your User Data. By using our Services, you grant us a limited license to process your User Data solely for the purpose of providing and improving the Services.

Feedback

Any feedback, suggestions, or ideas you provide regarding the Services may be used by us without restriction or compensation to you.

  • You may not remove, alter, or obscure any copyright, trademark, or proprietary notices.
  • Our AI models and algorithms are proprietary and confidential trade secrets.
  • Output generated by our Services based on your User Data is owned by you, subject to our underlying IP rights in the Services.

07 Data Processing

Our data processing practices are governed by our Privacy Policy and Data Processing Agreement (DPA). By using our Services, you acknowledge and agree to these data handling practices.

Enterprise Security

We maintain SOC 2 Type II certification and comply with GDPR, CCPA, and other applicable data protection regulations. Your data is encrypted in transit and at rest.

Data Retention

We retain User Data for the duration of your Subscription plus a reasonable period thereafter for backup, archival, or legal purposes. Upon termination, we will delete your User Data in accordance with our data retention policies.

  • We process User Data only as necessary to provide the Services and as instructed by you.
  • We implement appropriate technical and organizational measures to protect User Data.
  • We do not sell your User Data to third parties.
  • We may use aggregated, anonymized data for service improvement and analytics.

08 Confidentiality

Each party agrees to protect the other's Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Exceptions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no breach of these Terms; (b) was rightfully known prior to disclosure; (c) is rightfully received from a third party without restriction; or (d) is independently developed without use of Confidential Information.

  • Confidential Information may be disclosed if required by law or court order, provided prompt notice is given.
  • Upon termination, each party must return or destroy the other's Confidential Information.
  • These confidentiality obligations survive termination of these Terms for a period of five years.

09 Limitations of Liability

To the maximum extent permitted by applicable law, Ciryana and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

Limitation on Amount

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us for the Services during the twelve (12) months immediately preceding the event giving rise to liability, or £100, whichever is greater.

  • We do not guarantee the accuracy of AI-generated outputs and recommend human review for critical decisions.
  • We are not responsible for any decisions made based on information processed through our Services.
  • We are not liable for any loss or damage arising from your failure to comply with security obligations.
  • Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you.

10 Termination

These Terms remain in effect until terminated by either party. You may terminate these Terms by ceasing use of the Services and closing your account. We may suspend or terminate your access immediately for violation of these Terms.

Effect of Termination

Upon termination: (a) all licenses granted to you immediately terminate; (b) you must cease all use of the Services; (c) we may delete your account and User Data; (d) provisions intended to survive termination shall remain in effect.

  • We will provide notice of termination where practicable.
  • You remain liable for all charges incurred prior to termination.
  • We are not liable to you or any third party for termination of access to the Services.

11 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of London, England.

Dispute Resolution

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA).

  • Arbitration shall be conducted in English in London, England.
  • Each party bears its own costs in arbitration.
  • Judgment on the arbitration award may be entered in any court of competent jurisdiction.

12 Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and notifying you via email or through the Services.

Notification Policy

Material changes will be notified at least 30 days before taking effect. Your continued use of the Services after changes constitutes acceptance of the updated Terms.

  • We will update the "Last Updated" date at the top of these Terms when changes are made.
  • It is your responsibility to review these Terms periodically.
  • If you do not agree to changes, you must stop using the Services.
